Terms of Service

Please read these Terms of Service (“Terms”) carefully. By accessing or using Recora’s services, including its related brand websites (e.g., www.recora.com, www.pinnie.com, pinnie.health), mobile applications, and telehealth platform (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

1. Overview of Services

Recora, Inc. (“Recora,” “we,” or “us”) operates as a Management Services Organization (MSO) that provides administrative, operational, and technology support to physician-owned Professional Corporations (“PCs”). These PCs are responsible for delivering medical care through licensed healthcare providers. Recora does not provide medical services or make clinical decisions.

2. Relationship Between Recora and PCs

Recora works with PCs under a Managed Services Agreement (“MSA”) to ensure compliance with applicable laws, including Corporate Practice of Medicine (CPOM) regulations. Under this arrangement:

  • Clinical Services: The PCs are solely responsible for all medical services provided to patients, including diagnosis, treatment, and clinical decision-making.
  • Non-Clinical Services: Recora provides administrative support to the PCs, including billing, scheduling, IT support, marketing, and other non-clinical functions as outlined in the MSA.
  • No Interference in Medical Decisions: Recora does not influence or control any clinical decisions made by healthcare providers affiliated with the PCs.

3. No Medical Advice

The Services are provided for informational purposes only and do not constitute medical advice or create a provider-patient relationship. Medical care is exclusively provided by licensed healthcare professionals employed or contracted by the PCs. You should consult your physician or other qualified healthcare provider for any medical concerns. Do not disregard professional medical advice or delay seeking it because of information provided through the Services.

4. Use of Advocates

Recora’s platform connects users (“Clients”) with health professionals and care Advocates (“Advocates”) who assist with navigation and care management services. Advocates are independent contractors who provide non-clinical support under Recora’s supervision but do not deliver medical advice or treatment.

5. Informed Consent

By using the Services, you consent to receive certain communications via telehealth technologies facilitated by Recora on behalf of its partner PCs. Telehealth involves electronic transmission of personal health information (PHI) and may include audio or video consultations, secure messaging, and remote monitoring. You acknowledge that:

  • Telehealth has limitations compared to in-person care.
  • There are risks associated with data transmission.
  • You may withdraw your consent at any time by discontinuing use of the Services.

6. Privacy and Data Security

Your use of the Services is governed by Recora’s Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Services, you agree to the terms of our Privacy Policy.

7. User Responsibilities

You agree to:

  • Provide accurate information when registering for and using the Services.
  • Maintain confidentiality of your account credentials.
  • Use the Services only for lawful purposes.

You must not:

  • Misrepresent your identity or health information.
  • Use the Services to engage in unlawful activities.

By using the Services, you represent that:

  • You are at least 18 years old.
  • You are legally authorized to enter into these Terms.

8. Payment and Fees

Certain features of the Services may require payment. Fees for medical services provided by PCs are billed directly by those entities. Any fees charged by Recora pertain solely to non-clinical services provided through its platform. By providing payment information, you represent that you have the legal right to use the payment method provided.

9. Disclaimer of Warranties

The Services are provided “as is” without warranties of any kind. To the fullest extent permitted by law:

  • We disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We do not guarantee uninterrupted access to the Services.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Recora shall not be liable for any damages arising from your use of the Services.
  • Our total liability shall not exceed $100 or the amount you paid for accessing non-clinical features in the past 12 months.

11. Indemnification

You agree to indemnify and hold harmless Recora from all claims arising out of your use of its non-clinical Services or violation of these Terms.

12. Termination

We reserve the right to suspend or terminate your access to the Services if you violate these Terms or engage in unlawful activity through our platform.

13. Governing Law

These Terms are governed by New York State law without regard to conflict-of-law principles.

14. Changes to These Terms

We may update these Terms from time to time by posting a revised version on our website with an updated “Last Updated” date.
